1. Subject matter
Facilwork grants the customer a non-exclusive, non-transferable licence to use a multichannel SaaS management system (ERP) for product management, inventory control, order management, invoice issuance and reporting.
2. Registration
- Registration requires a valid company registration and truthful, complete and up-to-date information.
- The customer is responsible for keeping access credentials confidential.
- Use of the platform for unlawful purposes or in breach of these terms is prohibited.
3. Plans and billing
- The current plans and conditions are described on the Pricing page.
- Billing occurs on a monthly or annual cycle, according to the contracted plan.
- Prices may be adjusted annually, with 30 days’ prior notice.
- Late payment may result in suspension of access 5 days after the due date.
4. Intellectual property
The software, brand and all elements of the platform are owned by Facilwork. Data entered by the customer remains the property of the customer, who grants Facilwork a limited licence to process it in providing the service.
5. Service level (SLA)
Facilwork endeavours to maintain 99% monthly availability, excluding scheduled maintenance communicated in advance. Support is provided by email during business hours.
6. Limitation of liability
To the maximum extent permitted by law, Facilwork’s total liability for any damages is limited to the amount of subscription fees actually paid by the customer in the 12 months preceding the event giving rise to the claim.
7. Confidentiality
The parties undertake to keep confidential any confidential information accessed as a result of the contractual relationship, during and after its term.
8. Termination
- The customer may terminate the contract at any time, with no penalty, by closing the account.
- Facilwork may terminate the contract with 30 days’ notice, or immediately in the event of non-payment or abuse.
- After termination, the retention policy described in the Privacy Policy applies.
9. Updates to these terms
These terms may be amended at any time. Material changes will be communicated by email with reasonable notice. Continued use of the platform after a change implies acceptance.
10. Governing law and jurisdiction
These terms are governed by Brazilian law. Any disputes shall be settled in the comarca de Botucatu/SP.
